Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Zeryn LLC ("Company," "we," "us," or "our") and any individual or entity ("Client," "you," or "your") that accesses our website or engages our digital services. By using our site or placing an order, you agree to these Terms in full.

1. Services

Zeryn LLC provides bespoke digital services including web and e-commerce development, payment gateway integrations, SaaS configuration, and IT consulting. The specific scope, timeline, and deliverables for each engagement are defined in the applicable project agreement or order confirmation.

2. Payment

All fees are due in full prior to project commencement unless otherwise agreed in writing. Payments are processed securely through Stripe. All prices are listed in US Dollars (USD). Zeryn LLC reserves the right to modify its pricing at any time; price changes will not affect orders already confirmed in writing.

3. Intellectual Property

Upon receipt of full payment, Zeryn LLC transfers to the Client full ownership of all custom-developed code and design assets created specifically for the Client's project. Zeryn LLC retains the right to use general methodologies, frameworks, and non-proprietary code components developed during the project. Third-party libraries remain subject to their respective open-source licenses.

4. Client Obligations

The Client agrees to provide accurate project requirements, timely feedback, and all necessary materials (brand assets, credentials, content) as requested by Zeryn LLC. Delays resulting from late or incomplete Client input will not constitute a breach by Zeryn LLC and may extend the project timeline.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Zeryn LLC's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

6. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives termination of the service agreement for a period of two (2) years.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in New York, NY.

8. Modifications

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after any change constitutes acceptance of the new Terms.
